Version 1.0. Effective Date: the date shown at the top of this page. Operator: Reseated Councils, Inc., a Delaware nonprofit nonstock corporation.
1. About these Terms
1.1 These Terms govern your use of the Site. The Shared Definitions (Schedule D) apply.
1.2 Order of precedence. If documents conflict, the following apply in this order: the Certificate, the Bylaws, the Program Rules, then these Terms and the Privacy Notice. The Privacy Notice controls on how we process Personal Data.
1.3 The Corporation. Reseated Councils, Inc. is incorporated in Delaware. Nothing on the Site states that any tax authority has recognized the Corporation as exempt until that has happened.
1.4 Acceptance. Visitors accept these Terms by using the Site. Account holders, Reporters and commenters accept them through a separate tick box at submission or sign-in.
2. What Reseated is and is not
2.1 Reseated is organized as a nonprofit. It intends to seek recognition of exemption from U.S. federal income tax, and its status has not yet been determined. Contributions to Reseated are not deductible as charitable contributions.
2.2 Program Membership is free. There are no dues, fees, paid tiers or sponsored seats.
2.3 Program Membership is not corporate membership. Being a Program Member (the business), an Assembly Participant (acting through an Authorized Representative), a Fellow, a Partner, a Pledged Business or a Named Executive does not make you a Statutory Member. It gives you no right to vote for directors, amend the Certificate or Bylaws, inspect corporate books and records, or take part in or receive assets on dissolution. Program votes (for example on council resolutions and chair elections) are held only under the Program Rules.
2.4 Reseated is not affiliated with, endorsed by or part of the United Nations or any government. It does not certify businesses, products or people.
3. Eligibility
You must be at least 18 years old. If you act for a business or organization, you confirm you have authority to do so. Program Membership requires the eligibility set out in the Program Rules, including independent ownership where those rules require it.
4. Accounts and one-time codes
4.1 You sign in with a one-time code sent to your email. Keep access to that email secure. Do not share codes.
4.2 You are responsible for activity on your account until you tell us at security@reseated.com that it has been compromised.
4.3 We may refuse, suspend or close an account under section 18.
5. Existing Charter acceptances
5.1 Before these Terms took effect, the Site asked people joining to tick a box accepting the Founders Charter but did not store a record of that acceptance. Where any such record exists, we keep it unchanged.
5.2 We ask existing account holders to accept these Terms at their next sign-in. Until they do, they can still view, export and close their account and exercise privacy rights. They cannot submit new Contributions or vote.
5.3 We will not create, back-date or infer any acceptance on anyone’s behalf.
6. Program participation
Council work, program votes, consultations, Fellowship, CEO Seats and pledges are governed by the Program Rules. If these Terms conflict with the Program Rules, the Program Rules apply to that activity.
7. Your Contributions
7.1 You keep ownership. You do not transfer ownership of your Contributions to us.
7.2 License. You grant Reseated a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt for formatting, translate, publish, archive and distribute your Contributions for Reseated’s nonprofit purposes. You also allow us to sublicense these rights to our service providers so they can operate the Site. The license lasts while the Contribution remains in the Public Record or our archive under section 13.
7.3 Attribution choice. When you submit, you choose how you are credited: full name, name and organization, region only, or no public attribution, where the form offers these options. We follow your choice. Section 7.6 explains limits on how far that choice can protect your identity.
7.4 Issued without formal editing. We may publish Contributions as submitted, marked “issued without formal editing.” Publication does not mean Reseated agrees with or has checked a Contribution.
7.5 Removal and redaction. We may refuse, edit for length or legal risk, redact, summarize, delay or remove any Contribution. We do this in particular to protect Personal Data, confidential information or third-party rights.
7.6 Report publication. Public Report summaries show region instead of city, and amounts in bands. We publish a breakdown cell only when it contains at least 5 Reports. The organization you name stays in a private field (the Other-Party Field) and is not published; Record and Publication Policy sections 2 to 4 set the intake, summary and threshold rules in detail. Even with these safeguards, other people may be able to identify you from what you describe. Leave out details you are not prepared to have linked to you.
7.7 Unlisting. You can ask us to remove your name from the Roll or from a public attribution. We will do so within 30 days. Section 13 explains what an archive may still keep.
8. Your promises about Contributions
You promise that:
- your Contribution is accurate to the best of your knowledge, and you mark opinion as opinion
- you have the right to submit it
- it does not breach confidentiality, privacy, intellectual property or other rights
- it does not include sensitive Personal Data about anyone. Examples are health, religion, sexual life, immigration status, government ID numbers and financial account numbers. It also does not include a third party’s private contact details.
9. Acceptable use
You must not:
- post unlawful, defamatory, harassing, discriminatory or threatening content
- impersonate anyone, or misstate your business, authority or independence
- manipulate votes, create multiple accounts, or coordinate fake Reports
- share or invite agreements between competitors on prices, wages, output, territories, bids or customers, or share competitively sensitive information through the Site
- scrape, overload, probe or bypass security, or use automated tools without written permission
- upload malware
- use the Site to send unsolicited commercial messages
10. Reporting illegal content (notice and action)
10.1 Anyone may report content they believe is illegal or breaches these Terms using the form at /report-content or by emailing legal@reseated.com.
10.2 A notice should include:
- the exact URL or record number
- the reasons you believe the content is illegal
- your name and email (optional for notices about child sexual abuse material)
- a statement that you believe in good faith that the notice is accurate and complete
10.3 We will confirm receipt, decide in a timely, careful and objective way, and tell you what we decided and whether you can challenge it.
10.4 If we restrict your Contribution, we will tell you why, unless the law prevents us. You can ask us to review the decision by replying within 6 months. A different reviewer will handle the review.
11. Defamation and personal-rights complaints
11.1 If you believe content about you or your organization is false and damaging, or invades privacy, email legal@reseated.com with “Content complaint” in the subject line. Include the location, the specific statement, why it is false or unlawful, and any evidence.
11.2 While we review, we may restrict the content under Record and Publication Policy section 9 (takedown pending review). We may also ask the person who contributed it to respond. We may then keep, correct, add a response to, or remove the content. Corrections follow Record and Publication Policy section 8.
11.3 This route does not limit any legal remedy, and using it does not waive any defense.
12. Copyright
12.1 To report copyright infringement, email legal@reseated.com with “Copyright notice” in the subject line, or write to us at the address in section 23. Include:
- your signature
- the work you say is infringed
- the material and its location
- your contact details
- a statement of good-faith belief that the use is not authorized
- a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act
12.2 If you send a counter-notice that meets the legal requirements, we may restore the material as the law allows.
12.3 We will close the accounts of repeat infringers where appropriate.
13. Records and archive
The Public Record is an institutional archive. After removal or unlisting, we may keep a non-public copy for legal, audit and integrity purposes as set out in the Privacy Notice. Third parties may already have copied or cached published material, and we cannot recall those copies. Numbered records may show that an item was withdrawn or redacted.
14. Third-party names, CEO Seats, pledges and badges
14.1 Naming an organization or Named Executive in the Public Record does not mean they endorse Reseated. A CEO Seat status (for example “invited,” “no response,” “responded” or “signed”) records only that fact as of the date shown.
14.2 A pledge badge means only that the business has adopted the Pledge Standard shown and holds the Pledge Status shown, as of the date shown. The word “Verified” is used only after Reseated has published a Verification Method for that Pledge Standard and applied it to the business’s evidence (Pledge Terms and Mark Rules section 4.2); until then the Status is “Self-declared.” It is not a certification, guarantee, rating or endorsement of a business, product or practice. Businesses must not use a badge in a way that suggests otherwise.
15. Not legal or professional advice
Content on the Site, including proposed fixes, is general information. It is not legal, tax, financial or professional advice.
16. Donations (applies only if donations are enabled)
Requests for donations identify Reseated and the purpose of the request. On request, we will tell you how your donation is used. We will not name anyone as endorsing a donation request without their written consent. Section 2.1 applies to deductibility.
17. Disclaimers and liability
17.1 We provide the Site “as is” and “as available.” To the extent Applicable Law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Site will be uninterrupted or error-free, or that Contributions are accurate.
17.2 To the extent Applicable Law allows, our total liability arising from the Site is limited to USD 100. We are not liable for indirect, consequential, special or punitive loss, or for lost profits.
17.3 Sections 17.1 and 17.2 do not limit liability for:
- fraud, gross negligence or willful misconduct
- death or personal injury caused by negligence
- any liability that cannot be limited under Applicable Law, including the mandatory rights of consumers in your country of residence
17.4 If you use the Site for a business, you will reimburse Reseated’s reasonable losses arising from third-party claims about your Contribution, to the extent those losses result from your breach of sections 8 or 9.
18. Suspension and closing accounts
We may suspend or close accounts, remove content or restrict features for breach of these Terms or the Program Rules, legal risk or security reasons. We act in proportion to the problem and tell you why, unless the law prevents us. You can close your account at any time by emailing privacy@reseated.com or in your account settings. Sections 7, 8, 13, 17, 20 and 21 survive closure.
19. Changes to these Terms
We post changes on this page with a new version number and Effective Date. For material changes, we email account holders at least 15 days before the change takes effect, and ask for fresh acceptance at the next sign-in before new Contributions or votes. Non-material changes take effect when posted.
20. Governing law
Delaware law governs these Terms, without regard to conflict-of-laws rules. This does not remove protections you have under the mandatory consumer or data-protection law of your country of residence.
21. Where disputes are heard
21.1 The parties submit to the exclusive jurisdiction of the state courts of the State of Delaware and the United States District Court for the District of Delaware. Within the Delaware state courts, claims for equitable relief that fall within the jurisdiction of the Court of Chancery (10 Del. C. § 341) are brought there; claims for damages or other relief for which a sufficient remedy exists at law (10 Del. C. § 342) are brought in the Superior Court of the State of Delaware.
21.2 There is no arbitration.
21.3 Despite section 21.1, a consumer may bring proceedings in the courts of their place of residence where Applicable Law gives that right. Anyone may complain to a data-protection authority or use other non-waivable remedies.
22. General
These Terms, Schedule D, the Privacy Notice and (for program activity) the Program Rules form the whole agreement on use of the Site. If a provision is unenforceable, the rest continues. You may not assign these Terms. We may assign them to a successor nonprofit that takes over the Site. A failure to enforce a provision is not a waiver.
