Version 1.0. Effective Date: the date shown at the top of this page. Operator: Reseated Councils, Inc., a Delaware nonprofit nonstock corporation. Schedule D applies. Order of precedence: Certificate, Bylaws, Program Rules, then these Partner Terms, then the Terms of Use. Material changes: Partners are emailed 30 days in advance and may terminate on notice.
1. Authority
The individual accepting these Partner Terms confirms they are at least 18 and authorized to bind the Partner. This confirmation replaces the “My business is independently owned” checkbox on the partner form.
2. Eligibility
Partners are chambers of commerce, trade or business associations, and nonprofits that serve small businesses. Reseated may ask for evidence of status.
3. Relationship
3.1 The parties are independent. Neither is the other’s agent, partner in law, joint venturer or employee.
3.2 Neither may bind the other, and neither party is exclusive to the other.
3.3 No fees are payable either way.
4. Marks
4.1 Each party grants the other a limited, non-exclusive, non-transferable, royalty-free license to use its name and logo only to state accurately that the Partner is a Reseated Partner. Use must follow the other party’s brand guidelines.
4.2 Co-branded materials, endorsements and use of either party’s Marks in fundraising need prior written approval.
4.3 Either party may withdraw its license on 10 days’ notice. All licenses end when these Partner Terms end.
5. Data
5.1 Data shared under these Partner Terms is aggregated or anonymized only, unless a separate data processing or data sharing agreement is signed first.
5.2 Partners must not share Personal Data about their own members with Reseated, or attempt to re-identify Reseated data.
5.3 Shared data must follow the Code’s aggregation rules: no Competitively Sensitive Information, a minimum of 5 contributors per cell, and data at least 3 months old.
6. Fixes
Partners may choose to carry, endorse or decline any Fix. Carrying a Fix creates no obligation for the Partner or its members. Partners describe Fixes accurately and attribute them to Reseated.
7. Term and termination
7.1 Either party may terminate for convenience on 30 days’ written notice, or immediately for material breach that is not cured within 10 days of notice.
7.2 On termination, each party stops using the other’s Marks within 14 days. Records showing past partnership may stay in the Public Record, marked “Former Partner.”
8. Liability and law
Terms of Use sections 17, 20 and 21 apply to both parties.
